Proxy Design

In the wake of the “Say-On-Pay” provision of the Dodd–Frank Act, many companies are giving more attention to the design of their Proxy Statements. In place of the standard black-ink-on-white-paper approach to the Proxy, some are looking to engage shareholders with a more compelling document. Changing the design or layout of your Proxy is not required, however, this movement towards applying more elaborate design elements to the Proxy has been driven by the increased shareholder scrutiny that the “say-on-pay” provision has drawn to that document.
